Terms of Service
These Terms of Service govern your access to the ZhahzTech website and any professional services, proposals, deliverables, support, or related materials provided by ZhahzTech. By using our website, requesting a proposal, or engaging our services, you agree to these terms unless a separate written agreement signed by both parties overrides them for a specific engagement.
1. Scope of Services
ZhahzTech provides software engineering, consulting, design, integration, automation, and digital transformation services. The specific scope of any project, timeline, pricing, deliverables, milestones, acceptance criteria, support obligations, and commercial terms will be defined in a proposal, statement of work, invoice, or master services agreement.
2. Website Use
You may use this website for legitimate business and informational purposes only. You agree not to misuse the website, interfere with its operation, attempt unauthorized access, introduce malicious code, scrape content at scale without permission, or use the site in a way that could damage ZhahzTech, other users, or third-party systems.
3. Proposals and Estimates
Any estimate, budget range, delivery window, or project recommendation provided before a formal agreement is informational only and may change after discovery, technical validation, dependency review, or changes in project requirements. A project is not considered booked until scope, pricing, and commercial terms are accepted by both parties.
4. Client Responsibilities
Clients are responsible for providing accurate project information, timely feedback, approvals, access credentials, data, content, legal compliance requirements, brand assets, and internal stakeholders necessary for delivery. Delays in approvals, missing information, or changes in scope may affect cost and schedule.

5. Fees, Invoicing, and Payment
Fees, billing terms, and payment schedules will be stated in the applicable commercial document. Unless otherwise agreed, invoices are due according to the payment terms on the invoice. Late payment may result in paused work, delayed delivery, or withholding of certain deliverables, access credentials, or go-live activity until outstanding balances are cleared, subject to applicable law and contract terms.
6. Changes in Scope
Requests that materially change the approved features, integrations, technical assumptions, content volume, deployment requirements, or revision cycles may require a change order, revised timeline, and additional fees. ZhahzTech is not obligated to perform out-of-scope work without written confirmation.
7. Intellectual Property
Unless otherwise stated in a signed agreement, ZhahzTech retains ownership of its pre-existing tools, libraries, frameworks, templates, processes, know-how, and reusable development components. Upon full payment of applicable fees, the client will receive the rights expressly granted in the relevant project agreement for bespoke deliverables created specifically for that client.
Third-party software, open-source components, paid licenses, APIs, fonts, stock assets, and platform subscriptions remain subject to the terms of their respective owners or licensors.
8. Confidentiality
Each party agrees to use the other party's confidential information only for the purposes of the engagement and to protect it with reasonable care. Confidential information does not include information that is publicly available, independently developed without use of the other party's confidential information, or lawfully obtained from another source without restriction.
9. Warranties and Disclaimers
ZhahzTech will perform services using reasonable skill and care consistent with professional standards. Except where expressly stated in a written agreement, the website, proposals, and services are provided on an as-available and as-applicable basis. We do not warrant uninterrupted operation, complete compatibility with every third-party environment, or error-free performance in systems outside our control.
10. Limitation of Liability
To the maximum extent permitted by law, ZhahzTech will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profit, data, goodwill, or business opportunity. Any direct liability arising out of a service engagement will be limited to the amount actually paid to ZhahzTech for the specific services giving rise to the claim, unless a different cap is stated in a signed agreement.
11. Third-Party Services
Many digital projects depend on third-party platforms such as hosting providers, payment gateways, CRMs, analytics tools, AI vendors, email delivery services, or API providers. ZhahzTech is not responsible for outages, policy changes, pricing changes, security incidents, or performance issues caused by those third parties, though we may assist in reasonable remediation under the applicable support arrangement.
12. Suspension and Termination
We may suspend or terminate website access or project work if there is non-payment, abuse, illegal activity, security risk, repeated failure to cooperate, or a material breach of contract. Either party may terminate an engagement according to the termination terms in the applicable service agreement. Fees earned and costs incurred up to the termination date remain payable.
13. Indemnity
You agree to indemnify and hold ZhahzTech harmless from claims, damages, liabilities, and costs arising from materials you provide, misuse of the website or deliverables, unlawful business activity, or your breach of these terms or any project agreement, except to the extent finally determined to have been caused by ZhahzTech's own misconduct.
14. Governing Terms
If a signed proposal, statement of work, or master services agreement conflicts with these Terms of Service, the signed commercial agreement controls for that engagement. These website terms otherwise remain in effect for general use of the site and any pre-contract communications.
15. Changes to These Terms
ZhahzTech may update these Terms of Service from time to time to reflect business, legal, technical, or operational changes. Updated terms become effective when posted on this page unless a different effective date is stated.
